These Terms govern your use of the flipa.pro website and the Flipa services. Flipa licenses are sold through Freemius and WPBay, which act as the merchant of record - so your purchase is also subject to the terms of whichever platform you buy from. The Flipa plugin’s code is open-source software under the GNU General Public License (GPL); nothing here limits the freedoms that license grants you for the software itself.
1. Agreement to these Terms
By accessing flipa.pro or purchasing or using a Flipa license, you agree to these Terms of Service. If you do not agree, please do not use the website or our paid services.
2. The plugin and licenses
- Free version. A free version of Flipa is available on WordPress.org under the GPL. You may use it under the terms of that license.
- Pro licenses. Paid Flipa licenses unlock additional features and include updates and support for the term of your plan. Each plan specifies how many websites a license may be used on.
- Updates and support. Active licenses receive plugin updates and customer support for the duration of the license term. When a license lapses, the plugin keeps working, but updates and support end until it is renewed.
3. Purchases, billing, and renewals
Flipa Pro is sold and processed by Freemius (our “Buy direct” checkout) and by the WPBay marketplace, each acting as the merchant of record for the transaction. Your purchase is therefore also governed by the terms and conditions of the platform you buy from, which control billing, applicable taxes, accepted payment methods, invoicing, subscriptions, renewals, and payment disputes. Subscription plans renew automatically at the then-current rate through that platform until you cancel, which you can do at any time before the next renewal via the platform or through our Support page.
4. Refunds
Refunds are handled by the platform you purchased from (Freemius or WPBay) under our Refund Policy, which forms part of these Terms.
5. Acceptable use
When using our website and services, you agree not to:
- Use Flipa to publish or distribute unlawful, infringing, or harmful content.
- Misrepresent your license entitlement or attempt to circumvent license checks for the Pro services.
- Disrupt, overload, or attempt to gain unauthorized access to our website or systems.
These restrictions apply to our website and paid services. They do not restrict the rights granted to you under the GPL for the plugin’s source code.
6. Intellectual property
The Flipa name, logo, website content, and branding are owned by us and protected by applicable law. The plugin’s source code is licensed under the GPL. Except for rights expressly granted, no other rights are transferred to you.
7. Third-party services
Purchases and certain features rely on third parties such as Freemius, WPBay, and WordPress.org. Your use of those services is subject to their own terms and policies, and we are not responsible for them.
8. Disclaimer of warranties
The website and services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Flipa will not be liable for any indirect, incidental, special, or consequential damages, or loss of data, revenue, or profits, arising from your use of the website, plugin, or services. Our total liability for any claim is limited to the amount you paid for the license giving rise to the claim in the twelve months before the claim.
10. Indemnification
You agree to indemnify and hold Flipa harmless from claims arising out of your misuse of the services or your violation of these Terms.
11. Termination
We may suspend or terminate access to our paid services if you materially breach these Terms. You may stop using the services at any time. Provisions that by their nature should survive termination will continue to apply.
12. Governing law
Your purchase is processed by Freemius or WPBay as merchant of record and is additionally subject to that platform’s terms, including any provisions on governing law and disputes for the transaction itself. For everything else in these Terms, they are governed by the laws applicable at the principal place of business of the operator of flipa.pro, without regard to conflict-of-laws principles, except where mandatory consumer-protection laws of your country of residence provide otherwise.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above reflects the latest version. Continued use of the website or services after changes take effect constitutes acceptance.
